Effective date and acceptance
Effective date: April 23, 2026. These Terms of Service ("Terms") govern access to and use of VeriCheck Online websites, software, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
Eligibility and authority
You represent that you are at least 18 years old and authorized to bind the business or entity on whose behalf you access the Services. If you do not have such authority, you must not use the Services.
Service role and scope
The Services support payment workflow tools, including capture, authorization, and processing-related functions. VeriCheck Online is not your legal, tax, accounting, or financial advisor, and nothing in the Services constitutes legal, tax, or accounting advice.
Accounts and security
You are responsible for account accuracy, credential confidentiality, user provisioning, and all activity under your account. You must promptly notify us of suspected unauthorized access or security incidents.
Fees, billing, and payment obligations
Fees, pricing terms, and billing conditions are governed by your applicable order, statement of work, or pricing schedule. You are responsible for all applicable fees, taxes, returns, chargebacks, and related costs associated with your use of the Services unless otherwise agreed in writing.
Authorization and compliance responsibilities
You are solely responsible for ensuring transactions are validly authorized and compliant with all applicable laws, rules, network standards, and banking requirements, including NACHA and other applicable payment standards.
Prohibited activities
- Using the Services for unlawful, deceptive, fraudulent, or abusive conduct.
- Submitting unauthorized payment instructions or misusing bank/check information.
- Attempting to bypass security controls or interfere with system operation.
- Reverse engineering, scraping, or unauthorized access to systems or data.
Intellectual property and license
VeriCheck Online and its licensors retain all rights, title, and interest in the Services and related intellectual property. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for internal business purposes.
Third-party services
The Services may rely on third-party systems, communications providers, or payment-related integrations. We are not responsible for outages, delays, or failures caused by third-party services beyond our reasonable control.
Suspension and termination
We may suspend or terminate access, with or without notice as permitted by law, for security risk, suspected fraud, non-payment, legal compliance requirements, breach of these Terms, or misuse of the Services.
Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, VeriCheck Online will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business interruption, arising out of or related to the Services.
Indemnification
You agree to defend, indemnify, and hold harmless VeriCheck Online and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your transactions, or your breach of these Terms.
Governing law and dispute resolution
Unless otherwise required by applicable law or superseded by a written agreement between the parties, these Terms are governed by the laws applicable in the jurisdiction of VeriCheck Online's principal place of business, without regard to conflict-of-law rules. Disputes will be resolved in the courts or alternative dispute forum designated by applicable contract or law.
Changes to these Terms
We may revise these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of those updates.
Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Failure to enforce any provision is not a waiver. These Terms, together with applicable order forms and written agreements, constitute the entire agreement regarding the Services and supersede prior or contemporaneous understandings on the same subject matter.
